This document sets out the terms and conditions governing the purchase of officially licensed WPdealer software products and related services provided by the Licensor.
By placing an order through the official WPdealer website, the Customer acknowledges having read, understood and accepted these Terms and Conditions of Sale together with the other documents forming part of the WPdealer Legal Package.

1. Scope
These Terms and Conditions of Sale govern the purchase of officially licensed WPdealer software products and related services supplied by the Licensor through the official WPdealer website.
They apply to all purchases made by Customers, whether acting directly or through an authorised Web Agency, unless otherwise agreed in writing by the Licensor.
The use of the Software after purchase is governed by the applicable WPdealer End User License Agreement (EULA), which forms an integral part of the WPdealer Legal Package.
2. Seller Information
The seller of the Software is:

Additional company information, including VAT number and contact details, is available on the official WPdealer website.
3. Products and Software Licences
WPdealer offers software products distributed under individual commercial licences that grant the Customer a limited, non-exclusive and non-transferable right to use the Software in accordance with the applicable End User License Agreement (EULA).
The purchase of a Software Licence does not transfer ownership of the Software or any intellectual property rights relating thereto.
Each Licence includes only the features, services and update period specified at the time of purchase.
4. Prices, Taxes and VAT
All prices displayed on the official WPdealer website are expressed in Euro (€) and are exclusive or inclusive of Value Added Tax (VAT), as expressly indicated at the time of purchase.
Where applicable, VAT shall be calculated in accordance with the tax legislation in force in the Customer’s country and the relevant European Union regulations.
The Licensor reserves the right to modify prices at any time. Any price changes shall not affect orders that have already been accepted and confirmed.
5. Orders and Contract Formation
By placing an order through the official WPdealer website, the Customer submits an offer to purchase the selected Software Licence.
The purchase agreement is concluded only when the Licensor accepts the order and the corresponding payment has been successfully processed.
The Licensor reserves the right to refuse or cancel an order where reasonably necessary, including, without limitation, cases involving pricing errors, fraud prevention, payment irregularities or technical issues affecting the order process.
6. Payment Methods
Payments may be made using the payment methods made available on the official WPdealer website at the time of purchase.
Payment processing is performed through independent payment service providers. The Licensor does not collect or store Customers’ payment card information.
The Customer is responsible for ensuring that the selected payment method is valid and that the payment can be successfully completed.
7. Electronic Invoicing
Where required by applicable law, the Licensor shall issue an electronic invoice using the billing information provided by the Customer during the ordering process.
The Customer is responsible for providing complete, accurate and up-to-date billing information, including, where applicable, VAT identification numbers, fiscal codes, electronic invoicing addresses or other information required for tax purposes.
Once issued, invoices may only be amended where permitted by applicable law.
8. Delivery of Digital Products
WPdealer Software is supplied exclusively in digital form.
Following successful payment, the Customer will receive access to the purchased Software Licence and any related download, activation or account information using the procedures made available by the Licensor.
Delivery shall be deemed completed when the Software or Licence becomes available to the Customer through the official WPdealer platform.
9. Licence Duration and Renewal
Unless otherwise specified, each WPdealer Licence is valid for a period of twelve (12) months from the date of purchase.
An active Licence entitles the Customer to receive software updates, technical support and access to all services included with the purchased Licence throughout its validity period.
Upon expiry, the Customer may continue using the installed version of the Software in accordance with the applicable End User License Agreement (EULA). However, software updates, technical support and all services reserved for active Licences shall automatically become unavailable until a new Licence has been purchased and activated.
WPdealer Licences are not renewed automatically. To continue receiving updates and support, the Customer must purchase a new Licence through the official WPdealer website.
Once the purchase has been completed, the new Licence must be activated by replacing the expired licence key with the newly issued licence key in the Software’s Licences Manager.
Replacing the licence key does not require the Software to be reinstalled and does not affect the existing installation, website configuration, stored data or Software settings. Activating the new Licence simply restores access to software updates, technical support and all services reserved for active Licences.
10. Web Agency Purchases
WPdealer Software Licences may be purchased either directly by the Customer or by a Web Agency acting on the Customer’s behalf.
Where a Web Agency purchases a Licence for a Customer, the Web Agency is responsible for providing accurate order information and for correctly installing and activating the Software on the Customer’s website.
Unless otherwise agreed in writing, the Customer remains responsible for the use of the Software and for complying with the applicable End User License Agreement (EULA) and the other documents forming part of the WPdealer Legal Package.
11. Right of Withdrawal and Refund Policy
WPdealer Software is supplied exclusively as digital content.
Where the Customer expressly requests immediate access to the Software, downloads or licence activation before the expiry of the statutory withdrawal period, the Customer acknowledges that the right of withdrawal may cease to apply to the extent permitted by applicable consumer protection legislation.
Any refund requests shall be assessed in accordance with the applicable laws and the Licensor’s Refund Policy, where applicable.
12. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Italy.
Any dispute arising out of or relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the competent Italian courts, unless otherwise required by applicable mandatory consumer protection laws.
